Shein Acquires Sustainable Fashion Brand Everlane for $100 Million

Quick Facts

  • Shein acquired Everlane for approximately $100 million after the sustainable fashion brand accumulated $90 million in debt
  • Common stockholders will receive nothing from the transaction as debt obligations consumed the deal value
  • Everlane revenue declined from $200 million to $170 million heading into 2026 despite a peak $250 million valuation

Chinese fast fashion giant Shein has acquired sustainable fashion brand Everlane for approximately $100 million. Everlane’s board approved the transaction on Saturday, May 16, 2026.

The deal was driven by Everlane’s crushing debt burden of $90 million. The debt comprises a $25 million loan from Gordon Brothers and a $65 million asset-based revolving credit facility. Common stockholders will receive nothing from the transaction.

Everlane CEO Alfred Chang told staff the brand will “continue operating independently with our design standards, brand philosophy and values intact.” Chang positioned the acquisition as providing “stability and resources to make a larger impact.”

The acquisition marks a dramatic fall for a brand that once symbolized the sustainable direct-to-consumer movement. Everlane’s revenue declined from an estimated $200 million annually to $170 million heading into 2026. The brand achieved a peak valuation of $250 million during the late 2010s DTC wave.

Private equity firm L Catterton took a minority stake in Everlane in 2020 and became majority owner in 2024. The firm’s stake came with approximately $90 million in liabilities, making this essentially a debt-driven exit.

“I think the brand has a lot of debt, it hasn’t been performing, and I think it’s been looking for someone to buy it out,” said Neil Saunders, managing director at GlobalData. “I think the surprising part is that Shein has stepped in.”

The deal triggered significant consumer backlash. Everlane customers viewed the sale to the ultra-fast fashion giant as betraying the brand’s climate-conscious ethos. Social media posts accused the brand of selling out.

Brittany Sierra, CEO of Sustainable Fashion Forum, warned the acquisition sends a damaging message: “If a brand built on radical transparency ends up under Shein, of all companies, it reinforces a deeply damaging message: that even the ‘better’ option eventually folds into the same system.”

For Shein, buying Everlane provides a bigger U.S. foothold and access to higher-end retail positioning. Industry experts suggest Shein seeks “access to a higher price point, a marketplace that is more higher end.”

The acquisition underscores broader tensions in fashion retail between sustainable business practices and financial survival in a marketplace dominated by fast fashion and price competition.
